Terms of Service

These Terms of Service ("Terms") govern your access to and use of DojoMesh, a martial-arts academy management platform operated by DojoMesh ("DojoMesh," "we," "us," or "our"). By creating an account, accessing the service, or using any DojoMesh feature, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

DojoMesh provides web-based software for managing martial-arts academies, gyms, and dojos — including member records, billing, attendance, scheduling, and communications. The service is delivered through tenant-specific subdomains (e.g. yourgym.dojomesh.com) and accessed via standard web browsers.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a contract on behalf of yourself or the organization you represent. If you sign up on behalf of a business or organization, you represent that you are authorized to bind that entity to these Terms.

3. Accounts and Security

• You are responsible for the accuracy of the information you provide at signup and for keeping it current.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to notify us promptly at us@dojomesh.com of any unauthorized access or suspected security incident.
• We are not liable for any loss or damage arising from your failure to comply with these obligations.

4. Subscriptions, Billing, and Trials

Free trial

New tenants may receive a free trial period of up to 60 days. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled. We will not charge your payment method during the trial period for the standard plan.

Recurring billing

Paid subscriptions renew automatically at the interval shown at signup (typically monthly) until cancelled. You authorize DojoMesh and our payment processors (Stripe and PayPal) to charge your designated payment method for each billing cycle.

Cancellation

You may cancel your subscription at any time from your account billing page or by contacting us@dojomesh.com. Cancellation takes effect at the end of the current billing period; you retain access through that date.

Refunds

Subscription fees are non-refundable except where required by applicable law or where we, at our sole discretion, agree to issue a refund. Partial-period refunds are not provided.

Price changes

We may change subscription pricing with at least 30 days' written notice (sent to the email address on file). Continued use of the service after the price change takes effect constitutes acceptance of the new price.

5. Customer Data

"Customer Data" means all data you or your members upload, generate, or store within DojoMesh — including member profiles, payment records, attendance logs, and communications. You retain all rights to your Customer Data. You grant DojoMesh a limited license to host, process, and display Customer Data solely as necessary to provide the service. We will not sell or share your Customer Data with third parties except as described in our Privacy Policy or as required by law.

6. Acceptable Use

You agree not to:

• Use the service to violate any applicable law or regulation, or for any unlawful purpose.
• Upload or transmit malware, viruses, or any code intended to disrupt, damage, or gain unauthorized access to systems.
• Attempt to reverse engineer, decompile, or otherwise extract the source code of the service.
• Resell, sublicense, or rent the service without our prior written consent.
• Use the service to send unsolicited bulk messages (spam) to recipients who have not opted in.
• Interfere with or disrupt the integrity or performance of the service or its underlying infrastructure.
• Access another tenant's data or attempt to circumvent tenant isolation controls.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

7. Intellectual Property

DojoMesh, the DojoMesh logo, and all related software, designs, and documentation are the property of DojoMesh and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our marks, trade names, or branding except as expressly permitted in writing.

8. Third-Party Services

The service integrates with third-party services including (without limitation) Stripe and PayPal for payment processing, and may include other integrations. Your use of those services is governed by their respective terms and privacy policies. DojoMesh is not responsible for the acts or omissions of third-party providers.

9. Termination

You may terminate your account at any time by cancelling your subscription. We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay subscription fees when due, or use the service in a manner that exposes us to legal or operational risk. Upon termination, your right to use the service ends. We will retain or delete Customer Data in accordance with our Privacy Policy and applicable retention requirements.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOJOMESH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless DojoMesh and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your Customer Data, or your breach of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which DojoMesh is established, without regard to its conflict-of-laws rules. Any disputes arising under or relating to these Terms shall be resolved by binding arbitration or in the courts of that jurisdiction, at our option.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, send notice to the email address on file. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
